These official copies of the Village Vistas offering plan and amendments were acquired from the Office of the New York State Attorney General in compliance with the Freedom of Information Law.
Each amendment, except for numbers 15 and 16, has a cover page created by the Attorney General indicating that the document has been accepted and filed by his office.
Village Vistas Offering Plan:
This is the full Village Vistas Offering Plan, beginning with the book cover and the Table of Contents and containing the entire plan. You can save this file to your computer disk once it opens in your browser (this may take a while as it is a large document). To do the save, just click on “File,” then “Save as …,” and then guide the download to your desktop. Once it’s on your disk you can open it by double clicking on the icon.
Condominium By-Laws:
These by-laws are an important component of the Offering Plan, and have been linked here, separately, for your convenience. They are on pages 255 through 280 of the Offering Plan.
Amendment 1, Filed 07/25/2010:
The amendment deals with status of sales, budget, and extension of the offering plan.
Amendment 2, Filed 10/10/2008:
The amendment describes pending litigation against the sponsor.
Amendment 3, Filed 04/27/2009: The amendment updates status on litigation, sales, budget, and extension of the offering plan.
Amendment 4, Filed 11/05/2009:
The amendment extends the offering plan and updates status of sales and budget; it also describes and resolves a potential ground water contamination problem.
Amendment 5, Filed 08/12/2010:
The amendment gives status on sales, budget, litigation, construction, and right of rescission, extends the offering plan, and gives a form for Power of Attorney.
Amendment 6, Filed 03/30/2011:
The amendment extends the offering plan, gives status of sales and budget, and discusses the Power of Attorney form given in Amendment 5.
Amendment 7, Filed 09/30/2011:
The amendment gives status of sales, budget, construction, and extends the offering plan.
Amendment 8, Filed 02/16/2012:
The amendment declares the offering plan effective and records the declaration. It also gives status on the budget and the escrow agent’s address and bank.
Amendment 9, Filed 08/02/2012:
The amendment gives status of sales and budget and extends the offering plan. It also amends Section 8 of Articles VIII of the By-Laws.
Amendment 10, Filed 01/23/2013:
The amendment gives status of sales and budget and revises the escrow trust fund regulations.
Amendment 11, Filed 07/11/2013:
Along with status of sales and extension of the offering plan, the amendment considers post closing information and other important financial issues.
Amendment 12, Filed 01/27/2014:
The amendment gives status of sales, sponsor’s financial obligations, unsold homes, and list and status of sponsor’s other publication offerings.
Amendment 13, Filed 01/15/2015:
The amendment gives latest status of sales, sponsor’s financial obligations, unsold homes, taxes, and sponsor’s other public offerings.
Amendment 14, Filed 01/12/2016:
The amendment gives latest status of sales, sponsor’s financial obligations, unsold homes, taxes, and sponsor’s other public offerings.
Amendment 15, Filed (undated; the cover letter is missing):
The amendment gives lengthy changes to the purchase agreement which appears in the Offering Plan, Section X, and was amended in Amendment 10.
Amendment 16, Filed (undated; the cover letter is missing):
Seems to have been written around 12/09/2016: The amendment gives status of sales, sponsor obligations, sponsor’s other offerings, board of managers, condominium budget, and real estate, taxes. The Offering Plan is extended to 2017.
Amendment 17, Filed February 5, 2018:
The amendment, among other things, extends the offering plan through February 4, 2019.
Amendment 18, Filed 03/5/2018:
This amendment gives the latest Village Vistas budget.
Amendment 19, Filed 2/21/2019:
The amendment extends the the Offering Plan until December 16, 2020. Here is the Amendment 19 Cover Letter.
